INTRODUCTION These Terms of Service ("Terms") govern your access to and use of software products, web platforms, APIs, support services, and related offerings (collectively, the "Services") provided by Net Force ("Company," "we," "us," or "our"). By using the Services, you agree to be bound by these Terms. 2. ELIGIBILITY AND ACCEPTANCE You represent that you are legally authorized to enter into these Terms for yourself or on behalf of an organization. If you use the Services for an organization, you confirm that you have authority to bind that organization. 3. ACCOUNT REGISTRATION AND SECURITY You must provide accurate and complete account information and keep it updated. You are responsible for all activity under your account and for protecting your credentials. You must notify us promptly of any unauthorized access or security incident involving your account. 4. LICENSE AND PERMITTED USE Subject to your compliance with these Terms and any applicable order form, Net Force grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for internal business purposes. The Services are licensed, not sold. 5. USER RESPONSIBILITIES You agree to: - Use the Services only for lawful and authorized purposes. - Ensure that your users comply with these Terms. - Maintain appropriate internal controls and data backups unless managed backup services are agreed in writing. - Provide all required consents and notices for data you submit to the Services. 6. PROHIBITED CONDUCT You must not: - Reverse engineer, decompile, disassemble, or attempt to derive source code except where permitted by law. - Resell, lease, sublicense, or commercially exploit the Services without written authorization. - Upload malware, interfere with system security, or attempt unauthorized access. - Infringe intellectual property rights or violate privacy rights of others. - Use automated methods to scrape data beyond documented APIs or permitted functionality. 7. INTELLECTUAL PROPERTY RIGHTS All rights, title, and interest in the Services, including software, source code, designs, trademarks, logos, and documentation, are owned by Net Force or its licensors. No rights are granted except as expressly stated in these Terms. 8. CUSTOMER DATA AND PRIVACY You retain ownership of your business data, content, and materials submitted to the Services ("Customer Data"). You grant Net Force a limited right to process Customer Data solely to provide, secure, maintain, and improve the Services. Our handling of personal data is governed by our Privacy Policy and applicable law. You are responsible for ensuring that collection and transfer of Customer Data to Net Force is lawful and properly consented. 9. FEES, BILLING, AND TAXES Fees, payment terms, billing cycles, and renewal terms are defined in your order, subscription plan, or invoice. Unless stated otherwise, payments are non-refundable except where required by law or stated in our refund policy. You are responsible for applicable taxes, duties, and similar charges. 10. SERVICE CHANGES, AVAILABILITY, AND SUPPORT We may update, modify, or enhance features to improve the Services. We will use reasonable efforts to maintain availability but do not guarantee uninterrupted or error-free operation. Support levels and response commitments apply only if included in a written service agreement. 11. THIRD-PARTY SERVICES The Services may integrate with third-party tools, payment providers, communication channels, or hosting services. Your use of third-party services is subject to their terms, and Net Force is not responsible for third-party performance or availability. 12. DISCLAIMERS To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 13. LIMITATION OF LIABILITY To the maximum extent permitted by law: - Net Force will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, goodwill, or data. - Net Force's total aggregate liability arising out of or related to the Services will not exceed the amounts paid by you to Net Force for the affected Services in the three (3) months preceding the event giving rise to the claim. These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. 14. INDEMNIFICATION You agree to defend, indemnify, and hold harmless Net Force, its affiliates, and personnel from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights by your data or conduct. 15. SUSPENSION AND TERMINATION We may suspend or terminate access to the Services for material breach, non-payment, unlawful use, or security risk. You may stop using the Services at any time, subject to your contractual payment obligations. Upon termination, your license ends immediately and you must discontinue all use of the Services. 16. DISPUTE RESOLUTION AND GOVERNING LAW Before filing formal legal proceedings, the parties will attempt in good faith to resolve disputes through written notice and business discussion for at least thirty (30) days. These Terms are governed by the laws of Pakistan. Any unresolved dispute will be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan, unless otherwise agreed in writing. 17. CHANGES TO THESE TERMS We may update these Terms from time to time. Updated Terms become effective when published unless a later date is stated. Continued use of the Services after an update constitutes acceptance of the revised Terms. 18.
